Terms of Service

These Terms of Service (the "Terms") govern your access to and use of Hungru's websites, applications and related services (collectively, the "Service"). The Service is operated by Hungru Ltd., a company registered in Israel (company no. 517390639), with its registered office at 4 Yiftakh St., Apt. 3, Tel Aviv-Yafo 6731410, Israel ("Hungru", "we", "us" or "our").

By creating an account, clicking to accept these Terms, or otherwise accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service. Additional terms may apply to particular features, promotions or services. If those additional terms conflict with these Terms, the additional terms will control for the relevant feature, promotion or service.

1. The Service

Hungru provides a social platform for discovering and sharing information and content about restaurants, dishes and dining experiences, together with related social, recommendation and discovery features. The features available to you may vary by version, device and location.

Unless Hungru expressly states otherwise, Hungru provides the platform only. Hungru does not operate restaurants, prepare, sell or deliver food, provide booking services, or become a party to any transaction between you and a restaurant or other third party.

Points, badges, rankings and similar participation features have no cash or property value and may not be sold, transferred or redeemed unless Hungru expressly provides otherwise in separate rules. Hungru may correct, change or withdraw those features and may reverse benefits obtained through error, misuse or manipulation.

2. Eligibility and Accounts

You must be at least 18 years old to create an account. If you are under the age of legal majority where you live, you may use the Service only with the permission of a parent or legal guardian. You represent that you meet these requirements and are legally permitted to use the Service.

You must provide accurate account information and keep it reasonably current. You are responsible for safeguarding your account credentials and for activity carried out through your account. You must notify us promptly at [email protected] if you suspect unauthorized access. You may not impersonate another person, create an account without authority, or sell or transfer your account.

Hungru may authenticate accounts and verify certain information for security, safety or legal purposes, but does not generally verify users' identities or the accuracy of information they provide. Exercise appropriate judgment when relying on user content or communicating with other users.

3. Limited Right to Use the Service

Subject to these Terms, Hungru grants you a limited, personal, non-exclusive, non-transferable and revocable right to access and use the Service for your own lawful use.

You may not, directly or indirectly:

  • use the Service unlawfully, fraudulently or in violation of another person's rights;
  • copy, reproduce, sell, license or commercially exploit the Service or Hungru content except through features we expressly provide;
  • scrape, crawl, harvest, extract or access the Service through automated means, or use the Service or its content to develop or train an artificial intelligence system, without our prior written permission;
  • reverse engineer, bypass or interfere with the Service, its security or access controls, or introduce malware or other harmful code;
  • collect information about other users, send spam or unauthorized advertising, or use the Service for scams, phishing or unauthorized solicitation;
  • manipulate reviews, ratings, recommendations, rankings, points or other Service features; or
  • evade an account restriction or help another person violate these Terms.

Nothing in these Terms permits conduct that applicable law prohibits us from restricting.

4. User Content and Community Rules

"User Content" means any review, rating, comment, message, photo, video, profile information or other material that you submit, upload, publish, transmit or otherwise make available through the Service. You are responsible for your User Content and your conduct on the Service.

You may not submit User Content or use the Service in a manner that:

  • is unlawful, fraudulent, defamatory, deceptive, infringing or invasive of another person's privacy or other rights;
  • threatens, harasses, bullies, stalks, exploits or promotes hatred, terrorism or violence against any person or group;
  • sexually exploits or endangers any person, particularly a minor, depicts or facilitates child sexual abuse, or contains unlawful sexually explicit material;
  • promotes or provides instructions for suicide, self-harm, dangerous conduct or other unlawful activity;
  • impersonates another person or organization, misrepresents an affiliation, or discloses another person's confidential or personal information without authorization;
  • contains spam, unauthorized promotions, malware or other harmful or disruptive material; or
  • otherwise creates a material safety, legal or security risk for Hungru, its users or others.

Reviews and ratings must reflect a genuine first-hand experience and an honestly held opinion. You may not post fake or misleading reviews, review your own business, coordinate or manipulate ratings, or offer, request or accept an incentive that is conditional on a particular sentiment. You must clearly disclose any material connection that could affect the credibility of a review, including payment, a free meal, a discount, employment, ownership or a close personal relationship.

Hungru does not verify that every review reflects an actual visit or experience. We may use reasonable and proportionate measures to identify, label, restrict or remove fake, concealed-incentivized or misleading reviews and to correct affected ratings or rankings.

When you submit User Content, you represent and warrant that: (a) you own it or have all rights and permissions needed to submit it and grant the licence below; (b) it complies with these Terms and applicable law; (c) it does not infringe or violate another person's rights; and (d) any factual statement on which others may reasonably rely is not knowingly false or misleading. Where required, you must have permission from each identifiable person appearing in your User Content.

User Content reflects the views of its author and not Hungru. Public User Content may be viewed, copied or shared by others inside or outside the Service. Do not submit anything publicly that you want to keep confidential. Messages are not public, but recipients may copy or share them.

5. Licence to User Content

You retain any ownership rights you have in your User Content. By submitting User Content, you grant Hungru and its affiliates a worldwide, non-exclusive, royalty-free, transferable and sublicensable licence to host, store, reproduce, use, modify, adapt, translate, distribute, publish, display, perform and otherwise make the User Content available in any media in connection with operating, providing, securing, developing, improving, promoting and distributing the Service and exercising our rights under these Terms. This licence includes the right to use service providers and distribution partners for those purposes. For private messages, this licence is limited to operating, securing and supporting the messaging feature and complying with applicable law.

The licence ends when the User Content is deleted from the active Service, except to the extent copies are reasonably retained for technical backups, legal compliance, safety, security, fraud prevention or dispute resolution, the content remains shared by others or outside the Service, or continued use is otherwise permitted by applicable law. If you delete your account, Hungru may continue to display public reviews and comments without identifying them with your account where permitted by applicable law. To the extent permitted by law, you waive and agree not to assert moral rights or similar rights that would prevent Hungru from exercising this licence.

You will not receive compensation for User Content unless Hungru expressly agrees otherwise in writing.

6. Moderation, Suspension and Termination

Hungru uses community rules, reporting and blocking tools, and moderation measures to help protect the Service and its users. Hungru may, but is not required to, monitor, screen or review all User Content or conduct, and does not guarantee that it will identify every violation. We may use automated systems, human review or both.

If we reasonably believe that User Content or conduct violates these Terms or applicable law, infringes rights, may cause harm, fraud, manipulation, security concerns or liability, or is otherwise inappropriate for the Service, we may take reasonable and proportionate action. This may include refusing, removing, editing, labelling or limiting the visibility of User Content; reversing points or rankings; restricting features; warning a user; or suspending or terminating an account. We may act without prior notice where reasonably necessary, subject to applicable law.

You may report content or conduct, or complain about how Hungru handled a report or moderation decision, through the reporting tools in the Service or at [email protected]. Hungru will act on notices of illegal content as required by applicable law. Where applicable law requires us to provide reasons, a complaint or appeal process, or another remedy relating to a moderation decision, we will provide the process and information required by that law. If Hungru removes or restricts access to your User Content, or suspends or terminates your access, in breach of these Terms, you may bring a claim for breach of contract where applicable law provides that right.

You may stop using the Service and request deletion of your account at any time using the available account tools. Hungru may also suspend or terminate the Service or your access to it for the reasons described above, for prolonged inactivity, or for operational, technical, security, legal or business reasons. You should keep copies of User Content you wish to retain, as Hungru does not promise to store or preserve User Content. Sections that by their nature should survive termination will remain effective.

7. Restaurant, Third-Party and Automated Content

Restaurant, dish, menu, price, opening-hour, ingredient, allergen, dietary, certification and other information may be provided by users, restaurants, public sources, service providers or automated tools. It may be incomplete, inaccurate or out of date. Always verify important information directly with the restaurant before visiting, ordering or consuming food. If you have an allergy, intolerance, medical condition, or strict dietary or religious requirement, do not rely solely on the Service. Hungru does not provide medical, nutritional or allergy advice.

The Service may include maps, news, links, advertisements, services and other content provided by third parties. Hungru does not control or endorse third parties and is not responsible for their availability, content, products, services, acts or omissions. Your dealings with third parties are between you and the relevant third party and may be governed by separate terms.

Recommendations, rankings, summaries, descriptions, translations and other content may be personalized, generated or assisted by algorithms or artificial intelligence. They may be incomplete, inaccurate, biased or out of date and do not constitute an endorsement or guarantee. Hungru will provide disclosures or labels where required by applicable law.

8. Hungru's Rights

Hungru and its licensors own all rights, title and interest in the Service and Hungru content, including its software, databases, designs, branding, trademarks, compilations and technology. Except for the limited right granted in Section 3, no rights are granted to you.

If you provide ideas, suggestions or feedback about the Service, you grant Hungru a worldwide, perpetual, irrevocable, royalty-free, transferable and sublicensable right to use and exploit them for any purpose without restriction, attribution or compensation.

9. Privacy

Our Privacy Policy, available at https://hungru.co/privacy-policy, explains how Hungru collects, uses and shares personal information. These Terms govern use of the Service; the Privacy Policy governs the handling of personal information.

10. Changes to the Service and These Terms

Hungru may add, change, suspend or discontinue all or part of the Service for operational, technical, security, legal, commercial or other legitimate reasons. We do not promise to maintain any particular feature or content. We will provide any notice or remedy required by applicable law.

We may update these Terms from time to time. The updated Terms will state when they take effect. If a change materially affects your rights or obligations, we will provide notice as required by applicable law. Changes apply prospectively, and where applicable law requires your consent, we will obtain it. By continuing to use the Service after updated Terms take effect, you agree to the updated Terms to the extent permitted by law. If you do not agree, you must stop using the Service.

11. Disclaimer of Warranties

Nothing in these Terms excludes any warranty, guarantee, right or remedy that cannot lawfully be excluded.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND ALL CONTENT MADE AVAILABLE THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES, REPRESENTATIONS OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY. HUNGRU DISCLAIMS ALL IMPLIED WARRANTIES AND CONDITIONS, INCLUDING MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND QUIET ENJOYMENT. HUNGRU DOES NOT WARRANT THAT THE SERVICE OR ANY CONTENT WILL BE ACCURATE, COMPLETE, CURRENT, RELIABLE, AVAILABLE, SECURE, UNINTERRUPTED, ERROR-FREE OR FREE OF HARMFUL COMPONENTS, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE WILL PRODUCE ANY PARTICULAR RESULT. HUNGRU DOES NOT WARRANT OR ENDORSE USER CONTENT, RESTAURANTS, USERS, ADVERTISERS OR OTHER THIRD PARTIES, OR ANY PRODUCT, SERVICE, INFORMATION OR TRANSACTION OFFERED BY THEM. YOUR USE OF AND RELIANCE ON THE SERVICE IS AT YOUR OWN DISCRETION AND RISK.

12. Limitation of Liability

Nothing in these Terms excludes or limits liability for fraud or fraudulent misrepresentation, wilful misconduct, death or personal injury caused by negligence where applicable law prohibits that limitation, or any other liability that cannot lawfully be excluded or limited.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HUNGRU AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL OR DATA, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HUNGRU'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) US$100; OR (B) THE AMOUNT YOU PAID HUNGRU FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

The exclusions and limitations in this Section apply only to the extent permitted by the law applicable to you.

13. Indemnification

You agree to indemnify, defend and hold harmless Hungru and its affiliates, officers, directors, employees, agents and service providers against third-party claims and resulting liabilities, damages, losses and reasonable external costs, including legal fees, to the extent directly caused by: (a) User Content that violates these Terms or another person's rights; (b) your unlawful use or misuse of the Service; (c) your material breach of these Terms; or (d) your infringement or violation of another person's rights. Hungru may control the defence and settlement of any such claim, and you will reasonably cooperate with us. You may not settle a claim that imposes any obligation on Hungru without our prior written consent. This Section does not apply to the extent a claim was caused by Hungru's own unlawful conduct.

14. Governing Law and Disputes

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of Israel, without regard to conflict-of-law rules. Subject to mandatory applicable law, the competent courts located in Tel Aviv-Jaffa, Israel will have exclusive jurisdiction.

If you are a consumer, this choice of law and forum does not deprive you of any mandatory consumer protection or right to bring proceedings in another court that cannot lawfully be waived under the law applicable to you.

15. App Stores

If you obtain the Service through an app store, you must also comply with that store's applicable terms.

If you download the Service from Apple's App Store, these Terms are between you and Hungru, not Apple. Hungru, and not Apple, is responsible for the Service, its support and any claims relating to it. Apple has no obligation to provide maintenance or support and, to the maximum extent permitted by law, has no warranty obligation other than refunding the purchase price, if any, where required. Your licence is limited to use on Apple-branded products as permitted by Apple's usage rules. Apple and its subsidiaries are third-party beneficiaries of this Section and may enforce it against you.

16. Copyright and Other Complaints

If you believe that content available through the Service infringes copyright or another legal right, please send a notice to [email protected] identifying the protected work or right, the content complained of and its location, your contact details, the basis of the complaint, and any statement or signature required by applicable law. Hungru may remove or restrict content and may terminate repeat infringers where appropriate.

17. General

These Terms and any additional terms or policies expressly incorporated into them constitute the entire agreement between you and Hungru concerning consumer use of the Service. They do not govern any commercial relationship between Hungru and a restaurant, advertiser or other business customer.

You may not assign or transfer these Terms without Hungru's prior written consent. Hungru may assign or transfer these Terms to an affiliate or in connection with a merger, financing, reorganization, sale of assets or transfer of the Service.

Nothing in these Terms creates an agency, partnership, joint venture, employment or fiduciary relationship between you and Hungru. Hungru will not be liable for a delay or failure caused by circumstances beyond its reasonable control. If any provision is found unenforceable, it will be modified or removed only to the minimum extent necessary, and the remaining provisions will remain effective. A failure or delay in enforcing a provision is not a waiver. Headings are for convenience only.

Except for Apple as stated in Section 15, these Terms do not give rights to any third party. Notices to you may be provided through the Service, by email or by another reasonable electronic method.
